Hello and thank you for considering Zetheta. We request you to please refer to the Terms, Privacy Policy, Disclaimer and programme related information on the website before making any payments. These Payment Terms (“Payment Terms”) apply when you pay any money to us or any payment gateway on our website with which we have an agreement to collect money on our behalf. These Payment Terms are a legal agreement (“Agreement”) between you or your business (if you are signing up on behalf of a corporation or other legal entity) (collectively, “you”, or “your”) and Zetheta Algorithms Private Limited (“Zetheta”, “we”, “us”, or “our”).

If you are an individual representing an entity, you acknowledge that: (i) you have the appropriate authority to accept this Agreement on behalf of such entity; (ii) you are of legal age to form a binding contract or your parent or guardian are making the payment or have consented for you to make the payment, and (iii) you and the legal entity are not prevented from paying or wiring money to Zetheta under applicable laws.

Zetheta can accept payments globally but it does not have any presence, representative, office, branch, group entity or place of business in any place other than Mumbai, India. For the purposes of accepting money from you, Zetheta engages one or more online payment gateway(s) who provide payment aggregation services and facilitates collection of online payments for products/ services provided to you. Usually the amounts charged to you reflects in the Zetheta Account within 2 (two) banking days.

DEFINITIONS: All the definitions and terms in the “Terms” page apply to this page of Payment Terms.

“Chargeback” means a Transaction that is disputed at your request or your card issuer’s request and includes retrieval requests for additional information on a Transaction.

“Financial Services Provider” means a person that is engaged in the business of providing a financial service and includes financial institutions.

“Zetheta Account” means the bank account opened by Zetheta to accept money from you.

“Payment Network(s)” means a card network, wallet, clearinghouse, or other payment system through which payment transactions process, clear, or settle. Examples of Payment Networks include Visa International Limited (India), Visa Europe Ltd., Visa U.S.A., Inc., Visa Canada Inc. and Visa International (collectively, “Visa”), MasterCard (India) Private Limited, MasterCard International Incorporated (collectively “MasterCard”), American Express, Diner’s Card, RuPay, clearinghouses, such as the National Payments Corporation of India, National Automated Clearing House Association and popular wallets such as JioMoney, Mobikwik, Airtel Money, FreeCharge, Ola Money, PayTM, Google Pay, and PayZapp or United Payments Interface (UPI).

“Payment Network Rules” means the written rules, regulations, releases, interpretations and other requirements (whether contractual or otherwise) imposed or adopted, and as amended from time to time, by the relevant Payment Network.

“Transactions” means types of payments from you with respect to sales of our products or services to you. “Transactions” includes transactions to facilitate a reversal or Chargeback of a Transaction.

Capitalised terms used in this Agreement but not otherwise defined in this Agreement shall have the definition provided in our Terms page.

PAYMENT TERMS:

As further described below, we or our payment gateway reserve the right to limit or cap, or to refuse to make or complete any Transaction requested or initiated through our payment gateway, for any reason, in our sole discretion, without any liability or obligation to you. We reserve the right to suspend or cancel any Transactions requested or initiated by you.

In the event that a payment under a Transaction is suspended, reversed, charged back (via a Chargeback), lost in transit due to systems issue or cancelled (either by us or by another party, such as a card issuer or a Payment Network) and the money is not credited to Zetheta Account, then we reserve the right to claim such amount from you or not provide the relevant product or services to you.

We will use commercially reasonable efforts to provide you with support to help resolve issues relating to the Transactions. You may contact us on any payment related issues. The Payment Network(s) and the Payment Gateway has the exclusive responsibility for the processing of Transactions, including the settlement of funds; however we will provide reasonable assistance in liaising between you and the Payment Gateway.

Zetheta does not guarantee or assume any liability for any Transactions authorized and completed that may later be reversed or charged back. You are solely responsible for all reversed or charged back Transactions regardless of the reason for, or timing of the reversal or Chargeback. We or the Payment Gateway may add or remove one or more types of Payment Networks or Payment Methods, at our or the Payment Gateway’s sole discretion, at any time, without prior notice to you.

We reserve the right not to proceed with any Transaction you submit that we believe violates this Agreement, or that may expose you, us, the Payment Gateway, or any other third party to actual or potential risk or harm, including, but not limited to, fraud or other criminal or prohibited acts. You are hereby granting us authorisation to share information with law enforcement or regulatory authorities about you, your Transactions, or your payments.

To verify your identity (KYC), we may require you to provide information in addition to the information you provided when you applied for a programme. The additional information may include, among other things, financial statements, bank account summary, identity documents or residence proof for you or for any of the owners or principals of your business. If you are a non-individual, we may also request your permission to do a physical inspection at your place of business and to examine books and records that pertain to your compliance with this Agreement. We may request such information required to verify your identity at any time after permitting you to go through our programmes or enter/ log in to our platform.

Your failure to comply with any request for additional information, inspection or examination within five (5) days may result in cancellation of your log in rights and right to receive any services or documents from us. You may not be able to complete the programmes and receive necessary certifications or letters.

You shall not deduct any taxes at source or with holding taxes from the amount of Transaction and where such deductions or with holdings are necessary, you shall bear cost of such deductions or with holdings and gross up the amount payable on the Transaction to such higher amounts of such deductions or with holdings. You shall be solely liable to pay for any such deductions or withholdings.

You agree to indemnify and defend Zetheta, our affiliates, and their and our respective employees, directors, agents, payment gateway and service providers (collectively, the “Zetheta Entities”) against any claim, suit, demand, loss, liability, damage, action, or proceeding (each, a “Claim”) brought by a third party against Zetheta, and you agree to fully reimburse Zetheta for any Claims that result from: (i) your breach of any provision of this Agreement; (ii) any fees, fines, penalties, disputes, reversals, returns, Chargebacks or any other liability we incur that results from your Transactions; (iii) your inability to use, understand, comprehend or receive certifications or letters for the programmes enrolled by you; (iv) your negligent or willful misconduct or that of your owners, employees, contractors, or agents; (v) illegal/ illicit sources of funds used by you for the Transactions; or, (vi) third-party indemnity obligations we incur as a direct or indirect result of your acts or omissions, including, but not limited to, indemnification of the Payment Gateway or any Payment Network.

We will have the final decision-making authority with respect to any Claims. You will be required to reimburse us for any liability incurred by the Zetheta Entities. You will not receive a refund of any fees paid to us.

If you are liable for any amounts owed to us as a result of a Claim, you shall make such payments immediately to us. If you do not do so, we may engage in collections efforts to recover such amounts from you at your cost and expense and even hire recovery agents or assign the receivable amounts to any third party without your consent.

We have the right to change or add to the terms of this Agreement at any time, and to change, delete, discontinue, change the prices for, or impose conditions on any feature or aspect of fees, charges or payments that we in our sole discretion deem to be reasonable in the circumstances. Any new Transactions after our publication of any such changes shall constitute your acceptance of this Agreement as modified.

You may be offered advertisements, services, products, and promotions provided by third parties and not by us when using our website. If you decide to use these third-party services, you will be responsible for reviewing and understanding the terms and conditions associated with these services. You agree that we are not responsible for the performance of these services. Our website or application may contain information or links to third-party websites as a convenience to you. The information or inclusion of any website link does imply an approval, endorsement, or recommendation by us. You agree that your access to any such website is at your own risk, and that the site is not governed by the terms and conditions contained in this Agreement. We expressly disclaim any liability for these websites. Please remember that when you use a link to go from our website to another website, our Terms and Privacy Policy is no longer in effect for such other websites. Your browsing and interaction on any other website, including those that have a link on our website, is subject to that website’s own rules and policies.

No party will be liable for delays in processing or other non-performance caused by such events as fires, telecommunications failures, utility failures, power failures, equipment failures, labor strife, riots, war, terrorist attack, non-performance of our vendors or the payment gateway or suppliers, acts of God, or other causes over which the respective party has no reasonable control, except that nothing in this section will affect or excuse your liabilities and obligations under this Agreement, including, without limitation, for reversals, Chargebacks, claims, fines, fees, refunds or unfulfilled products and services.

In case you have made the payment, and it is not reflected in our account due to issues with the payment gateway then in most cases, the money will be reversed to you automatically by the payment gateway within 3 to 7 working days and if it is still not received by you then you may take it up with the payment gateway. We shall assist you in the process but shall not be responsible for the loss occurred to you due to issues between you and the payment gateway since usually such money lies in the suspense account with the payment gateway and is not received by us.

Misconduct undermines the value of Zetheta’s credentials and reputation and devalues the authentic efforts of other users. If you engage in misconduct then you shall be subject to consequences as described below.

Misconduct is defined as any activity which circumvents, or attempts to circumvent, the training experience provided by the programmes of Zetheta, or misrepresentation of the authorship or conditions of completion of programme activities.

You shall be permitted to use or consult others or use publicly available information online (including electronic materials and generative AI tools including, but not limited to, OpenAI/ ChatGPT, Gemini or similar software or applications) on any work within an assignment or task, unless expressly prohibited.

The following standards provide clarification of the most common types of misconduct, but the list is not exhaustive:

(i) Not completion: Not completing all the activities and tasks within the period prescribed for completion.

(ii) Plagiarism: Plagiarism is when you copy or reproduce words, ideas, or any other materials from another source without giving credit to the original author or copy the contents given by Zetheta. Plagiarism also includes the practice of employing or allowing another person to alter or revise your work, and then submitting the work as your own. Plagiarism can also include self-plagiarism, where you submit the same work that you had already submitted for another assignment or task, where this is not disclosed and permitted.

(iii) Fraud: any misrepresentation about the authorship or the conditions under which work within an assignment or task was performed not otherwise specified or falsifying any evidence in support of any mitigating circumstances claim.

(iv) Blanks/ poor work: Submitting blank presentations, documents or spreadsheet or poorly completed work of assignments and tasks given.

(v) Post, transmit or otherwise make available through the site any materials that are or may be: (a) threatening, harassing, degrading, hateful or intimidating, or otherwise fail to respect the rights and dignity of others; (b) defamatory, libellous, fraudulent or otherwise tortious; (c) obscene, indecent, pornographic or otherwise objectionable; or (d) a virus, worm, Trojan horse, Easter egg, time bomb, spyware or other computer code, file or program that is or is potentially harmful or invasive or intended to damage or hijack the operation of, or to monitor the use of, any hardware, software or equipment (each, a “Virus”).

(vi) Post, transmit, or otherwise make available through the site any material protected by copyright, trademark, trade secret, right of publicity or privacy or any other proprietary right, without our express prior written consent.

(vii) Use the site for any commercial purpose or otherwise give your user id and password to others to access the site.

(viii) Use the site for any purpose that is fraudulent or otherwise tortious or unlawful.

(ix) Interfere with or disrupt the operation of the site or the servers or networks used to make the site available, including by hacking or defacing any portion of any of the site or populate unwanted information on the site; or violate any requirement, procedure or policy of such servers or networks.

(x) Restrict or inhibit any other person from using the site.

(xi) Create or share content without first obtaining any necessary permission from third parties or otherwise use the site to post or transmit any information that you do not have the right to provide; that would violate any applicable law or regulation; or that would violate, infringe or misappropriate any third party right or interest.

(xii) Reproduce, modify, adapt, translate, create derivative works of, sell, rent, lease, loan, timeshare, distribute or otherwise exploit any portion of (or any use of) the site except as expressly authorized herein, without our express prior written consent.

(xiii) Reverse engineer, decompile or disassemble any portion of any of the site.

(xiv) Remove or alter any copyright, trademark or other proprietary rights notice on the site or content you access via the site.

(xv) Frame or mirror any portion of the site, or otherwise incorporate any portion of the site into any product or service, without our express prior written consent.

(xvi) Systematically download and store site’s content.

(xvii) Use any robot, spider, Websites search/retrieval application or other manual or automatic device to (a) retrieve, index, “scrape,” “data mine” or otherwise gather content from the Websites, (b) reproduce or circumvent the navigational structure or presentation of the Websites, or (c) harvest or collect information about users of the Websites without our express prior written consent.

(xviii) Create a false identity, misrepresent your identity, create a profile for anyone other than yourself (a real person), or use or attempt to use another’s account.

5. OTHER TERMS

(i) TAXES

All amounts paid by you to us shall be exclusive of all taxes, duties, charges, or cess. If Zetheta is liable for any taxes, duties, charges or cess in any jurisdiction outside India on or with respect to the value of the Products or Services provided (other than taxes levied on Zetheta’s income, such as corporate tax), you will pay to Zetheta an amount equal to that liability upon the provision, by Zetheta, of a valid invoice any time in future.

In case of applicability of any withholding tax on the fees payable to Zetheta, you shall pay such additional amounts as may be necessary such that Zetheta receives the fees it would have received, had there not been any withholding tax imposed. Bank charges, if any applicable while transferring funds to Zetheta shall be borne by you.

(ii) INTELLECTUAL PROPERTY

Zetheta shall retain all rights, title and ownership to Intellectual Property that arises out of the provision of Products or Services including all the information submitted by you on the site and all the data of usages on the site. All right, title, and interest in and to the site and all content, source code, processes, designs, technologies, URLs, domain names, videos, audios, marks, designs and logos forming any part of the site (collectively, "Our Property") are (a) fully vested in us, our licensors, or our suppliers and (b) protected by applicable copyrights, trademarks, patents, trade secrets, or other proprietary rights and laws.

Nothing in your use of the site or these terms grants you any right, title or interest in or to Our Property except the limited right to access the site for a brief period of your internship.

Unless otherwise expressly authorized by us in writing, you agree not to

copy, modify, deep link, rent, lease, loan, sell, assign, sublicense, grant a security interest in or otherwise transfer any right or interest in Our Property;
remove any proprietary notices or labels on or in Our Property; or
allow any other person or entity to engage in any of the foregoing.

You cannot resell, redistribute, or commercially exploit the content, ideas or concepts available on our website.

(iii) RELATIONSHIP OF PARTIES

We and you agree and acknowledge that we and you are independent and nothing in this agreement gives rise to an employment, partnership, joint venture, or other relationship. Our role is to provide training and your role is to receive work like experience and not actually working with us.

(iv) SEVERABILITY

If any provision of this agreement shall be found by any court of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions contained herein, which shall remain in full force and effect.

(v) INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend (at the indemnified party’s option), indemnify, and hold us harmless from and against any and all losses, damages, liabilities, costs (including reasonable advocates fees) and expenses in connection with any claim arising out of or in connection with any content or information posted or transmitted by you using the site or otherwise arising out of your use of the site or use of the site by any third party who is given or gains access to the site due to your action or inaction. We have the right at any time to forego the indemnification and assume the defence of any claim.

(vi) COPYRIGHT INFRINGEMENT CLAIMS

The copyright laws provide recourse for copyright owners who believe that material appearing on the Internet infringes their rights. If you believe in good faith that materials available on the site infringe your copyright, you (or your agent) may send to Zetheta a written notice by mail or e-mail, requesting that Zetheta remove such material or block access to it.

(vii) TRADE AND SERVICE MARKS

You may not use the trade names, trademarks, service marks, quotes, phrases, tag line, logos or designs, or any other mark held by Zetheta. Nothing contained on the site should be construed as granting any right to use any trade names, trademarks, service marks, quotes, phrases, tag line, logos or designs without our express prior written consent.

(viii) PROMOTIONAL CODES

Promotional Codes are limited in nature and may expire or be discontinued with or without notice. Promotional codes are void where prohibited by law. Promotional codes may not be copied, sold or otherwise transferred. They are not redeemable for cash and are subject to cancellation or change anytime for any reason without notice. We reserve the right in our discretion to impose conditions on the offering of any promotional code. If any payment is made without applying the accurate promotional code in the relevant field where this needs to be entered then no refund shall be made of any part of the discount or promotion that was not availed while making the payment, even if the promotional code was applicable to the payer. For certain campaigns, promotions or contests, additional terms and conditions may apply. If you want to participate in such a campaign, promotion or contest, you need to agree to the relevant terms and conditions applicable to that campaign, promotion or contest.

(ix) OTHER SERVICES INCLUDING MENTORING

Access to certain elements of the products and services including doubt clearance, mentoring services may be subject to separate terms, conditions and fair usage policy including extra fees that we may charge. We reserve the right to determine the criteria for provision of various elements of products or services to the different categories of users based on its policies. Hence, subscription to one or more of the Programmes or registrations do not automatically entitle you to any and all elements of products or services provided by us and we shall be entitled to exercise our sole discretion while providing access to and determining continuity of certain elements of the products or services. We reserve the right to extend, cancel, discontinue, prematurely withdraw or modify any of our products or Services at our discretion.

(x) DEVICES

Our products and services, including the assignments, tasks and content, are compatible only with certain devices, tablets, instruments and hardware. We shall not be obligated to provide workable products and / or services for any devices that are not recognized by us or those devices that may be purchased from any third party which are not compatible with our products and Services. We shall have no responsibility for any loss or damage caused to any device or any other hardware and / or software and/or instrument, including loss of data or effect on the processing speed, resulting from use of our products or services.

(xi) FORCE MAJEURE

If for any reason beyond its reasonable control, including but not limited to, strike, labour dispute, regulation or order of a governmental authority, civil disorder, disaster, act of war, act of God, fire, flood or other emergency condition or cyber-attacks, data loss on cloud platform, downtime on cloud platform, closing down of cloud platform where the site is hosted or closing down of domain name registrant or financial trouble at Zetheta (“Force Majeure Event”), if we are unable to perform our obligations, such non-performance shall be excused and if the Force Majeure Event continues for more than thirty (30) consecutive days, terminate the obligation of Zetheta to provide any products or services, without further liability of any nature.

(xii) GOVERNING LAW

This agreement will be construed, interpreted and applied in accordance with the laws of India as applicable in the state of Maharashtra. The parties agree to submit themselves to the jurisdiction of the courts at Mumbai in the state of Maharashtra.
